{"id":9012,"date":"2020-09-01T11:25:06","date_gmt":"2020-09-01T11:25:06","guid":{"rendered":"http:\/\/oilnewskenya.com\/?p=9012"},"modified":"2020-09-01T11:25:06","modified_gmt":"2020-09-01T11:25:06","slug":"nigeria-san-leon-provides-7-5m-funding-for-development-of-oza-field","status":"publish","type":"post","link":"https:\/\/www.oilnewskenya.com\/index.php\/nigeria-san-leon-provides-7-5m-funding-for-development-of-oza-field\/","title":{"rendered":"NIGERIA: San Leon provides $7.5M funding for development of Oza Field"},"content":{"rendered":"<p class=\"bq\">San Leon, the independent oil and gas production, development and exploration company focused on Nigeria, announces that it has conditionally agreed to invest US$7.5 million by way of a loan to Decklar Petroleum Limited, the local subsidiary of Asian Mineral Resources Limited. Decklar is the holder of a Risk Service Agreement (<span class=\"ba\">&#8220;<\/span>RSA&#8221;) with Millenium Oil and Gas Company Limited \u00a0on the Oza field in Nigeria. Until the loan and its interest are repaid, 100% of the Available Funds (as defined below) that can be distributed from Decklar<span class=\"bh\">&#8216;<\/span>s RSA proceeds will be paid to San Leon in satisfaction of those payments.\u00a0 San Leon will also subscribe for a 15% equity interest in Decklar.<\/p>\n<p class=\"bw\"><strong>The Oza Oil Field<\/strong><\/p>\n<p class=\"bq\">The Oza Oil Field was formerly operated by Shell Petroleum Development Company of Nigeria Ltd. (<span class=\"ba\">&#8220;<\/span>Shell&#8221;). The field has three wells and one side track drilled by Shell between 1959 and 1974. During the period when Shell was the operator, there were two periods of extended production testing from the Oza-1, -2 and -4 wells. The field was never tied into an export facility, nor was it fully developed by Shell and put into commercial production.<\/p>\n<p class=\"bq\">In 2003, the Oza Oil Field was awarded to Millenium, having won the bid during the Marginal Fields Licensing Round. Since Millenium<span class=\"bh\">&#8216;<\/span>s acquisition of the Oza Oil Field in 2003, approximately US$50 million has been spent on infrastructure in support of a restart of production including an export pipeline that connects the Oza Oil Field production into the Trans Niger Pipeline (TNP) which goes to the Bonny Export Terminal, a lease automatic custody transfer (LACT) unit fiscal metering system, infield flow-lines, manifolds and a rental 6,000 barrel per day early production facility. The RSA entered into between Decklar and Millenium provides Decklar with the majority share of production and associated cash flow from the Oza Oil Field in exchange for funding and technical assistance to restart commercial production and full field development; including a preferential return of its costs plus a share of cash flow thereafter. In exchange, Decklar is entitled to priority recovery of its capital from 80% of distributable funds. After achieving cost recovery, Decklar<span class=\"bh\">&#8216;<\/span>s profit share is based on a sliding scale starting at 80% and declining to 40% once cumulative production exceeds 10 million barrels.<\/p>\n<p class=\"bq\">Decklar intends to fast-track the initial development of the Oza Oil Field including a re-entry on the existing Oza-1 well, anticipated to test three oil bearing zones and place the well into production from two of the three zones tested. The drilling rig is expected to then be skidded on the same location as Oza-1 to a new drilling slot and a development well is expected to be drilled horizontal into the third zone tested in the Oza-1 well re-entry. The Oza-1 well and new horizontal development well are anticipated to generate significant production levels and cash flow in an abbreviated time frame. The Oza Oil Field development is anticipated to then continue with one or two more existing well re-entries and additional development drilling with the potential for eight to ten wells being drilled in total for the full field development. Additional early production and central processing facilities will be added as required to accommodate additional production levels from the Oza Oil Field&#8217;s development activities. Decklar estimates that first production will be three to four months following the drawdown of the financing described within this announcement.<\/p>\n<p class=\"bq\">The Oza Oil Field has significant export and production processing facilities and infrastructure already in-place and operational, which will allow for the export and sale of crude oil from the Oza-1 well re-entry, the initial Oza horizontal development well and future wells.<\/p>\n<p class=\"bw\"><strong>Subscription Agreement<\/strong><\/p>\n<p class=\"bq\">San Leon has entered into a subscription agreement (the\u00a0<span class=\"bh\">&#8220;<\/span>Subscription Agreement&#8221;) with Decklar. The Subscription Agreement entitles San Leon to purchase US$7,500,000 of 10% unsecured subordinated loan notes of Decklar and 1,764,706 ordinary shares of Decklar (representing 15% of the enlarged share capital of Decklar) for a cash consideration of US$7,500,000 and\u00a0<span class=\"ax\">N<\/span>1,764,706 (c. US$4,600), respectively. In addition, Decklar and San Leon have entered into an option agreement \u00a0that, at San Leon&#8217;s sole discretion, entitles San Leon to purchase an additional US$7,500,000 of Loan Notes and 2,521,008 Decklar Shares (representing an additional 15% of the enlarged share capital of Decklar, together with a gross-up of the original 15% so as to provide San Leon with a total of 30% of the enlarged share capital of Decklar) for a cash consideration of US$7,500,000 and\u00a0<span class=\"ax\">N<\/span>2,521,008 (c. US$6,500), respectively, at any time until the date that is forty-five (45) days after the well test results of the first development well on the Oza Oil Field have been delivered to San Leon.<\/p>\n<p class=\"bq\">The Subscription Agreement provides for certain conditions precedent to be confirmed prior to finalising and issuing the Loan Notes and Decklar Shares, including entering into an agreed form of shareholders&#8217;<span class=\"bh\">\u00a0<\/span>agreement in respect of Decklar and the restructuring of certain historical indebtedness by the owner\/operator of the Oza Oil Field, Millenium, to the satisfaction of San Leon at its sole discretion and the approval of the transaction contemplated by the Subscription Agreement by the TSX Venture Exchange.<\/p>\n<p class=\"bq\">In addition, Millenium has entered into a non-binding term sheet with a local Nigerian bank and the trading subsidiary of a major oil company for up to US$33,000,000 in a five year term debt that provides a use of proceeds of US$22,000,000 to refinance existing debt of Millenium and US$11,000,000 for development activities on the Oza Oil Field, based on entering into a crude sales and purchase contract. Decklar is expected to provide a corporate guarantee as part of this US$33,000,000 term debt facility (<span class=\"ba\">&#8220;<\/span>Development Debt&#8221;).\u00a0 If San Leon subscribes for the Option Loan Notes then, together with the amount subscribed under the Loan Notes, upon completion these arrangements will represent new funding for Decklar of up to US$26,000,000.<\/p>\n<p class=\"bq\">Concurrently with entering into the Subscription Agreement, San Leon has advanced US$750,000 as an initial deposit (the\u00a0<span class=\"ba\">&#8220;<\/span>Deposit&#8221;) with the release of the balance of the US$7,500,000 being subject to the satisfaction (or waiver) of the conditions precedent contained in the Subscription Agreement. In the event the transactions contemplated by the Subscription Agreement are not completed on or prior to September 30, 2020, Decklar will be required to repay the Deposit to San Leon within three months of that date.\u00a0 A further announcement will be made in relation to the completion of the Subscription Agreement.<\/p>\n<p class=\"bq\">San Leon will be allocated one seat on the board of Decklar.\u00a0 Pending development of the Oza Oil Field, Decklar is yet to report meaningful financial information and, in the last audited accounts for the\u00a0<span class=\"aw\">year ended\u00a0<\/span>31 December 2019, it reported a profit before tax of nil and fixed assets of\u00a0<span class=\"ax\">N<\/span>267,440,000 (c. US$692,000).<\/p>\n<p class=\"bx\"><strong>Loan Notes<\/strong><\/p>\n<p class=\"bq\">The terms of the Loan Notes provide for an interest rate of ten (10)% per annum, which accrues on a quarterly basis and will have a maturity date after five years and with payments being made from available funds from operations (after taking into account any required debt servicing payments, general and administrative expenses, approved joint venture capital and operating costs required to be funded by Decklar under the RSA with Millenium, taxes and other statutory payments) (the &#8220;Available Funds&#8221;). All Available Funds shall be applied to the payment of interest and principal in respect of the Loan Notes until they are repaid in full. If the Option Loan Notes are subscribed then, 50% of the Available Funds will be applied to payment of interest and principal in respect of the Option Loan Notes until they are repaid in full. The Loan Notes are unsecured, subordinated and contain customary events of default. The Loan Notes do not contain any financial or other maintenance covenants.<\/p>\n<p class=\"bq\">Oisin Fanning, Chief Executive officer, commented:<\/p>\n<p class=\"bq\"><span class=\"bh\">&#8220;<\/span>Oza is a further transaction in line with our strategy of investing in assets with expected near-term cash flow, where the initial investment is considered to be of limited risk (as this is an existing field with historical production, and San Leon will receive a cash sweep) and where there is material upside. Our technical team has reviewed the field data and work plans in detail, and is confident of the approach being taken.&#8221;<\/p>\n<p class=\"bq\"><span class=\"bh\">&#8220;<\/span>The structure of the transaction, which sees San Leon provide a repayable loan at an attractive interest rate and with an additional significant equity kicker, gives us the opportunity again to generate a meaningful return from repayments in the coming years as well as looking forward to a longer-term dividend return from our shareholding. The option to scale up our investment following receipt of the result of the new drill proof-of-concept well on equivalent terms to the initial investment, also provides San Leon with valuable
